Minutes and summaries of business meetings, potluck suppers and other Association events
The By-Laws that were adopted in July 2019 as well as the original By-Laws
Meeting was gaveled in at 6:30 p.m. by Roz Kalb, Vice President. Roz thanked everyone for attending. Roz stated Doug was a great leader and he had many accomplishments during his tenure as President of the association. Doug’s leadership held the board together during the last three years under very difficult circumstances.
Tina Sener then presented the secretary’s report. It included a summary of the 2022 season thus far, The report will be posted on the website. Averaged 23 attendees this season. Events included Trivia Night, Pound Auction, and the upcoming Ice Cream Social. The Hall preservation resulted in a new roof thanks to the memberships contributions and Doug’s vision. 100th Anniversary was cancelled, but may be revisited this coming year.
Izabela Werner presented the treasurer’s report. Fiscal years run 7/1 to 6/3.. $1250 has been raised in dues thus far this year, with 24 members contributing. This is compared to last year with $1900 raised, some members giving more to cover costs. The purpose of the dues is to pay regular expenses, and current membership at 24 will not cover rising costs. The insurance bill will be due this fall. The board always works to reduce these costs every year. We brought in an additional $514 with the pound auction this year. Thank you to Paul Werner for putting up the gutters this summer. The Treasurer’s report will be posted on the website.
Motion was made by Sandra Basgall to accept the Secretary & Treasurer Report. Motion seconded by Diana Sholtz. Membership vote unanimous.
There was discussion on new agenda items regarding welcoming committee, due date for dues, activities at the hall, etc. Marylyn brought up a possibility of having a marketing team that would manage the programming, welcome wagon activity, etc. These were tabled for the incoming board.
Next topic was the election of a new board. Angel Jamison presented the following slate for nomination: Chet Freeman, President; Brad Power, Vice President; Izabela Werner, Treasurer;, Deborah Jordan Pearson, Secretary; Robert Apfel, Trustee; Mike Jamison, Trustee; Paul Werner, Trustee. Nancy McKay motioned the membership accept and vote on the nominees. Motion was seconded by Marylyn Tomajan. The membership voted unanimously to accept the nominated board. The following will be the slate of officers and trustees:

Angel thanked the outgoing board for all their hard work over the last four years. For capital improvements for the new board, their challenge may be a new bathroom. A sincere thank you to the outgoing Board Members for their leadership. Doug Wilson’s vision along with the strong commitment of Roz, Tina, and Tony as they step off the board. Tina will be continuing to maintain the Sabino Website. The new board will be seeking a Program chair or team for next year. Angel requested help in the future with the nominating committee.
Per the By-Laws, Chet Freeman took over as president. Chet Freeman spoke about Doug Wilson and offered a moment of silence for Doug, Mary Ellen and his family. Chet thanked the members for their donations, Paul Werner for gutter work as well as a great Trivia night, Tyler Andresen for being the Pound Auction Auctioneer, Katherine Larrabee for the porch flowers. Chet will be meeting with new board members to carry on with items and ideas. New board members will meet with outgoing board members on Wednesday, September 7th @ 6:30.
The last Summer 2022 Potluck will take place Thursday, September 1st followed by the Ice Cream Social. Donations so far include:

These Indemnification provisions were previously passed as an amendment to the By-Laws by the SIA membership in 2010 and were inadvertently omitted:
Indemnification
Section 1. General Indemnification
The corporation shall, to the full extent of its power to do so provided by law, including, without limitation, Section 714 of Title 13-B of the Maine Revised Statutes of 1964, as amended, and laws supplemental thereto or amendatory thereof, indemnify any person who was or is a Director, officer, employee, volunteer or agent of the corporation or is or was serving at the request of the corporation as a Director, officer, employee or agent of any other corporation, partnership, joint venture, trust or other
enterprise, against expenses, including attorney's fees, judgments, fines and amounts paid in settlement actually and reasonably incurred by him/her.
Section 2. Special Indemnification
Nothing contained in Section 1 of this ARTICLE XV shall prevent the corporation, by action of its shareholders or by action of disinterested Directors, from indemnifying any person, including, without limitation, of a Director, officer, employee or agent of this corporation such indemnification should be made.
Section 3. Limitations on Liability
No officer, member of the Board of Directors, member, agent or employee of the Corporation shall be liable for the acts on the part of any other member, officer, member of the Board of Directors, agent or employee of this Corporation. Nor shall any member, officer, agent or employee be liable for his acts or failure to act under these By-Laws, excepting only those acts or omissions arising out of his willful misfeasance.
Sabino Improvement Association will accept responsibility if an officer or trustee is named in a legal suit when performing authorized duties while acting on the behalf of the Association. If the action is personal in nature, the legal responsibility will fall on the individual and not the Association.

Section 1. Property Owners, residents and summer residents of Sabino, so-called, in West Bath, Maine, do establish, ordain and consent to the following Constitution and By-Laws.
Section 2. The name of the organization shall be known as the Sabino Improvement Association (SIA).
Section 3. Its object shall be to unite for the mutual benefit, protection, improvement and association generally, the residents, summer residents, and property owners in Sabino, so-called, in the town of West Bath, Maine, it being understood that no building hereafter erected by the Sabino Improvement Association (the "Association") shall be used as a public dance hall and may only be used by members of the Association and their guests on such occasion as the Board of Directors may see fit.
BY-LAWS
ARTICLE ONE - Officers
The Board of Directors will be made up of four officers of the Association, president, vice-president, treasurer, secretary and three trustees, who shall be chosen by ballot at the annual meeting and shall hold their respective offices until the next annual meeting of the Association but in any event such officers duly elected shall hold office until their successors are elected and duly take office. Any person who is a member of the Association and has subscribed to the By-Laws of the same may be elected or appointed to any office there in.
ARTICLE TWO
President
The president shall preside at all meetings of the Association and in his/her absence the vice president and if he/she be absent a temporary chairman may be chosen to conduct the meeting.
Vice President
The Vice-President shall assume all duties of the President in his/her absence.
Secretary
The secretary shall keep a correct record of all the doings of the Association at the various meetings.
Treasurer
It shall be the duty of the treasurer of the Association to receive all money belonging to the Association and pay out the same up to $250. Any payouts exceeding $250 will require a written order of the president, countersigned by at least one Trustee. The treasurer of the Association shall keep a regular account of all moneys received and paid out, to exhibit the same to the Board of Directors whenever requested and to make full annual report to the Association at the annual meeting. There shall be two signatories on the bank accounts, one will be the Treasurer, the other will be a Trustee.
ARTICLE THREE - Meetings
The annual business meeting of the Association shall be held separately from the weekly potluck in such place and at such hour as determined by the Board of Directors.
Regular Meetings. - a weekly meeting of the Association will be held during the months of July and August. Members and guests of members are invited to attend the meeting in the Sabino Hall.
Special Meetings - a meeting of the Association may be called whenever the Board of Directors may deem it necessary and shall be called by them upon the request in writing of ten or more members in good standing provided, however, that all meetings of the Association be held at Sabino during the months of June, July, August, and September and at other places most convenient during the other months in the year.
Notice of Meetings - The Annual meeting of the Association shall be called by notice, utilizing e-mail and road posting on the pole nearest Berry's Mill, end of Sabino Road. In the event of meeting being held outside June, July, August, or September, notice shall be given utilizing the e-mail distribution list. In all cases when possible, the notice shall explain the object of the meeting.
Quorum - Ten members of the Association shall constitute a quorum for the transaction of business at any meeting of the association, but in the absence of a quorum a lesser number may adjourn the meeting to a later date.
ARTICLE FOUR
Membership - All persons residing on Sabino Road, or streets off the road, may become members of the Association. To belong to the Association a person must be at least 15 years old.
Dues - the annual dues to the Association to be paid by each residence shall be in the amount recommended by the Board of Directors and confirmed with a vote of the membership.
Board of Directors - the Board of Directors of the Association shall include the officers, in addition to three trustees, provided for in the Art. 1 of the By-Laws. They shall have charge of control of the Association's property, and have general supervision of its affairs and have the power to authorize ordinary expenditures; they shall make such rules regulating amusement, and the management of the Association's affairs as shall to them seem proper, and in general do whatever may be necessary to promote the welfare of the organization.
Hall usage - The use of Sabino Hall shall be exclusively for the members and their guests. The use will be limited to the capacity of the facilities. The annual SIA Fair may be held, table may be rented to outsiders at the going rate, at the discretion of the fair committee.
Other use of Sabino Hall by Association members and their guests may be allowed by written application to the Board of Directors. The Board of Directors shall make a recommendation to the members to be voted on at the meeting of the SAI. All meetings shall be posted three days in advance of said meeting. Alcohol cannot be served on the premises. Exception can be made with permission by the Board of Directors.
Junior Society - There shall be formed, if the local youths agree, the Association juniors which shall include any members of the Sabino Colony under eighteen years of age. The Junior Society shall elect its own officers and shall have the use of the Sabino Community Hall at such times as may be desirable. A member of the Junior Society may be appointed to the Association board, under the direction of the President. In turn, the Junior Society will have a representative of the Association as part of their board. The representative must be a member in good standing with the Association.
Amendments - These by-laws may be amended at any regular meeting or special meeting called for the purpose by a two-thirds vote of those present.

ARTICLE FOUR
All persons residing in the limits of Sabino, so called, in the town of West Bath, Maine, from a point west from the home of Charles H. Bates to the New Meadows River and from the southerly end of the cove at said Sabino to a point north bounded by the cove separating Quaker Point, so called, from Sabino, so called, may become members of the association. To belong to the association a person must be at least 15 years old.
Dues.
The annual dues to the association to be paid by each member shall be one dollar in advance for men and fifty cents for women.
Directors.
The Board of Directors of the association shall include the president in addition to the three directors provided for in Art. 1 of these by-laws. The board shall elect its own chairman and secretary from its membership They shall have charge and control of the association's property, and have general supervision of its affairs and have power to authorize all ordinary expenditures; they shall make such rules regulating amusement, and the management of the association's affairs as shall to them seem proper, and in general do whatever may be necessary to promote the welfare of the organization.
Amendments.
These by-laws may be amended at any regular meeting or special meeting called for the purpose by a two-thirds vote of those present.

HOST DUTIES 2023
Thank you for being willing to host a Sabino Supper!
Prior to Hosting:
If you happen to be at the supper the week prior to your Host Date, please take home the “dirty” silverware, wash it, and bring it back with you the following week.
Take an inventory of supplies to see if there are enough drinks, (including drinking water and water to make coffee), coffee, half and half, butter, ice for drinks, Clorox wipes, napkins. If these items are low, please purchase for your hosting time and if you choose to be reimbursed, please save your receipt and give it to the Treasurer. In addition, the Host provides sliced bread/rolls for the Potluck.
Hall and Hosting prep:
After Supper:
Please pass “dirty” utensils to next week’s Hosts and give the Hall a clean up including wiping down tables, and chairs if needed, with Clorox wipes and sweeping the floors. Arrange for trash to be removed. Shut off all lights and fans, and please make sure the kitchen and entry doors are locked.
